Our firm achieved a national first for the second time: the Peruvian Corporations Registry approved its first-ever cross-border forward triangular merger.

Our work involved parallel tax structuring under U.S. and Peruvian laws, as well as filings with the Delaware Secretary of State and the Peruvian Corporations Registry.

Acting as lead counsel, we retained Young Conaway Stargatt & Taylor LLP in Delaware.

A Peruvian corporation's merger into a Delaware subsidiary —whereby shareholders receive stock in the Delaware parent entity— grants direct access to the U.S. M&A market, unlocking new strategic growth and liquidity opportunities for both local and international investors.

CLIENT: Peruvian individuals, shareholders of Bquate Corp, Inc., the company itself, its subsidiary Bquate Music Inc., and Bquate Corp. S.A.C.
